PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
     The Company encountered an unexpected delay in preparing its financial statements for the period due to the departure of the Company’s CEO during the reporting period and the CFO in the current period, resulting in delays in assembling required information. Due to the delay in preparation of the financial statements, and without incurring unreasonable effort or expense, the Company was unable to provide sufficient time for its auditors and counsel to review the subject report. The Company plans to file the subject report on or before November 21, 2005.

The information contained in or filed with the form will be made a matter of public record in the Commission files.
 
3.   A manually signed copy of the form and amendments thereto shall be filed with each national securities exchange on which any class of securities of the registrant is registered.
